CONSTITUTION OF THE ASSOCIATION OF AMERICAN SCHOOLS IN THE REPUBLIC OF MEXICO
(Revised May 2006)

ARTICLE I. Name and Purpose

SECTION 1.
The name of this organization shall be the Association of American Schools in the Republic of México – ASOMEX

SECTION 2.
The purpose of this Association shall be to develop a closer union of the member schools; to seek to resolve common problems of member schools; to advance ideals and standards of the teaching professions and of administrative leadership; to promote the educational welfare of the communities in which the schools are located; and to provide a clearing house of information common to all member schools.

SECTION 3.
This Association shall not lend itself to sectarian or political causes.

ARTICLE II. Membership and Organization

SECTION 1.
The Association will consist of the following of members:

Charter Members
Those schools that joined together to establish this Association. This membership is irrevocable and has full voting privileges. The Charter Members are: Colegio Americano de Durango, The American School Foundation of Guadalajara, The American School Foundation of Mexico City, The American School Foundation of Monterrey, Escuela Americana de Pachuca, Fundación Colegio Americano de Puebla, The John F. Kennedy School, and Colegio Americano de Torreón.

Members
Any school that was established after the birth of this Association and is accredited by a recognized United States accrediting agency shall be considered for membership. Such schools will remain members as long as they maintain their accreditation. 

SECTION 2.
Member schools shall be represented in the Association by the Chief Administrative Officer or a Designated Representative.

SECTION 3.
The officers of the Association shall be as follows: President, Vice-President, Secretary and AAIE. The officers shall be elected by all members, in the spring meeting for a term of three years. Officers may be re-elected. The nomination of all officers shall be in written form and voting shall be by secret ballot. A simple majority (50% + 1) is required for election. A run-off election between the two top candidates will resolve any questions of election. Should any officer resign during his / her term in office, a special election to fill the vacancy will be held at the next Association meeting in May or October. The officers elected during the special election will only serve for the remaining part of the term.

Part 1.
The duties of the President are:

a. to preside over all meetings
b. to convene special meetings
c. to take any action that requires immediate attention if a special meeting cannot be convened
d. to represent the Association on the Tri-Association Board
e. to organize all activities related to membership applications in the Association

Part 2.
The duties of the Vice-President are:

a. to assume the duties of the President in the absence of the President
b. to administer and report the Association’s finances

Part 3.
The duties of the Secretary are:

a. to keep a record of all meetings
b. present a report of the Associations’ activities
c. to chair the membership committee

Part 4.
The duties of the AAIE representative:

a. to represent the Association on the AAIE Board

SECTION 4.
All officers of the Association shall be elected from among the membership..

ARTICLE III. Meetings and the Fiscal Year

SECTION 1.
The Association shall meet twice a year, once in the fall at the Tri- Association Conference and once in the spring hosted by a member school. It shall be the responsibility of the President or designate to notify all member schools of meeting thirty (30) days prior to the meeting. The time and place of the annual meetings, and any other meetings as may be deemed necessary shall be determined by the membership of the Association. A quorum shall consist of a majority of the membership of the Association. Each member school shall have one vote.

SECTION 2.
The fiscal year of the Association shall begin August 1st and ends on July 31st.

ARTICLE IV. Finances

SECTION 1.
All fees shall be determined by the membership at the spring meeting.

SECTION 2.
Any special fees levied after the spring meeting must be approved by two-thirds of the members.

ARTICLE V. Amendments

SECTION 1.
The constitution of the Association may be amended by a two-thirds vote of all member schools.
